PATRICK TOLHURST

Patrick advises on fundraisings, exits, product development, corporate strategy and general commercial matters. Patrick’s clients are entrepreneurs and growing companies working in innovative sectors such as fintech, IoT and the sharing economy, as well as more traditional business models from sectors including fashion, music and professional services.

Patrick trained and qualified at Farrer & Co LLP joining their corporate team advising investors, entrepreneurs, family businesses and professional practices in a number of sectors. In 2012, Patrick left Farrer & Co and started an award-winning food business before setting up Marlborough House Partners LLP.

CLAIRE RAINBIRD

PARTNER

Claire specialises in employment and business immigration law, supporting businesses and senior executives.  Claire is experienced in advising on all aspects of the employment relationship from recruitment through to termination and regularly advises on the employment aspects of complex reorganisations and restructures, TUPE and collective consultations.  Claire also gives advice to businesses on matters such as the prevention of illegal working and the employment of non-EEA nationals.

In addition, Claire provides an HR advisory service acting as a dedicated HR advisor providing day-to-day HR support and strategic advice to Boards of Directors.

Claire trained and qualified at Tolhurst Fisher LLP before joining City firm DMH Stallard LLP advising clients mainly in the financial and charitable sectors.

GRACE HAMLETT

PARTNER

Grace advises clients on a wide range of commercial contracts and the associated specialist areas they address such as future collaborations (including joint ventures and alliancing), IP, data privacy, publication rights, conditions of sale and purchase, internal governance and supply chain management.

Grace also provides an outsourced in-house legal function for both day-to-day matters and specific projects. She has a particular interest in ESG and how clients can best integrate their ESG goals into their commercial terms of business.

Grace trained with and qualified into the commercial, technology and outsourcing team at Gowling WLG and has since gained general commercial, technology licensing and corporate experience from in-house legal roles within the NHS, the charity sector and a London based biotech.

KIRSTIN GILBERT

PARTNER

Kirstin is a finance and commercial lawyer who has worked in private practice and as in-house counsel. Her practice focuses on venture debt, financial transactions and commercial contracts. Kirstin advises on debt fund raisings, convertible debt and asset-based lending. Kirstin is also an experienced commercial lawyer, regularly providing advice on contractual matters such as supply agreements, software licensing, distribution agreements and website terms and conditions.

Kirstin trained and qualified at Stephenson Harwood before joining Allen & Overy LLP, where she specialised in structured asset finance and project finance. Kirstin then worked as in-house counsel at a leading investment bank where she advised the global banking and trustee teams on financial transactions, trading platforms, commercial contracts and payment processing technologies. Since 2015 Kirstin has focused on advising early stage companies, acting as adviser to boards and investors.

EDWARD JONES

PARTNER

Edward has a mixed corporate and tax practice.  He advises on the tax and corporate aspects of tax-advantaged investments, employee share options, exits, corporate actions for more mature businesses (buybacks, demergers, group reorganisations and the like) and provides strategic advice on longer term capital tax planning for entrepreneurs.

He also has a general corporate and commercial practice with particular expertise in distributorships and commercial agency arrangements.

Edward trained at Lovells (now Hogan Lovells) and then worked at Allen & Overy LLP in the City.

Caroline handles affairs relating to operations and systems, business practices and processes, compliance, regulation and business development.

Previously Caroline trained as a solicitor at White & Case LLP joining their project finance team upon qualification. After several years Caroline decided to change focus within the legal sector, taking a business development role at Freshfields Bruckhaus Deringer LLP. Caroline joined Marlborough House Partners LLP in April 2016.

KAMANA RAI

ASSOCIATE

Kamana assists the Partners with general commercial and corporate matters for high-growth companies in a range of sectors.

Kamana completed her GDL and LPC at BPP University. She was a commercial paralegal at a start-up alternative legal service provider before joining MHP in July 2022. She completed her training contract with MHP in December 2024.

MIA MASKELL-ASHE

TRAINEE SOLICITOR

Mia primarily assists the Partners on corporate matters such as fundraisings, corporate governance and strategy, working alongside them to help grow companies in a wide range of sectors. Mia also aids the Partners in the employment sector.

Mia studied Law (LLB) with Philosophy graduating with a First Class Honours in August 2022 from New College of the Humanities, Northeastern University London. Mia then joined MHP in September 2022.

HAZEL TREMAIN

Senior Administrator

Hazel has over 30 years’ experience in the legal profession as a legal assistant.
